These Terms of Service ("Terms") govern your use of LoxPilot, a subscription service operated by Grizzly Tec, LLC ("Grizzly Tec," "we," "us," or "our"), a Texas limited liability company with offices at 1310 Rayford Park Rd, Suite 364, Spring, TX 77386.
By creating an account, subscribing to a paid plan, or otherwise using LoxPilot, you ("you" or "Customer") agree to these Terms. If you do not agree, do not use the Service.
These Terms include an arbitration agreement and class action waiver in Section 17. Section 17 also gives you the right to opt out of arbitration within 30 days of first accepting these Terms.
1. The Service
LoxPilot is a remote support membership service for owners of Loxone smart home systems. The Service includes:
- Grixx, an AI assistant trained to answer questions about your Loxone system;
- Optional human support sessions provided by Grizzly Tec personnel;
- Periodic check-ins and proactive outreach by our team;
- Other features described on loxpilot.com or made available through your account.
The specific features available to you depend on your subscription tier. Tier descriptions and pricing are published at loxpilot.com/pricing and may be updated from time to time.
LoxPilot is intended for end users who own Loxone systems installed by a professional integrator. LoxPilot is not intended for use by integrators, installers, or DIY users, and we reserve the right to terminate accounts used in those contexts.
Geographic availability. The Service is currently offered only to customers located in the United States. By subscribing, you represent that you are a resident of the United States and that the Loxone system you are seeking support for is located in the United States. We may, at our discretion, decline service to customers outside the United States. We do not target or actively market the Service to customers in the European Union, the United Kingdom, or other jurisdictions outside the United States.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use LoxPilot. By creating an account, you represent that:
- You meet the age and capacity requirements above;
- You are a resident of the United States;
- You are not barred from using LoxPilot under any applicable law;
- You are not located in, ordinarily resident in, or a citizen of any country or region subject to comprehensive U.S. economic sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, and Zaporizhzhia/Kherson regions of Ukraine);
- You are not on any U.S. government restricted-party list (including OFAC's Specially Designated Nationals list, the Entity List, or the Denied Persons List);
- You will not use the Service to violate U.S. export control or sanctions laws.
3. Accounts
You are responsible for the information you provide during signup, for keeping your password secure, and for all activity that occurs under your account. Notify us at info@grizzlytec.com promptly if you believe your account has been compromised.
We may refuse to create, suspend, or terminate any account at our discretion if we reasonably believe the account has been used in violation of these Terms.
4. Subscription, Billing, and Auto-Renewal
LoxPilot is offered on a subscription basis. By subscribing, you authorize us, through our payment processor (Stripe), to charge your payment method:
- The recurring subscription fee for your selected tier;
- A one-time setup fee at the time of initial signup, where applicable, subject to Section 5;
- Any additional charges for optional services (for example, paid support sessions) that you authorize in advance.
Auto-renewal. Your subscription will automatically renew at the end of each billing period (annual or monthly, as selected) at the then-current rate, unless you cancel before the renewal date. By subscribing, you provide your affirmative consent to these recurring charges.
Renewal reminders. For annual subscriptions, we will send you a reminder email between 15 and 30 days before each renewal. For monthly subscriptions, your initial confirmation email will include the renewal terms.
Price changes. We may change subscription prices. If we change the price of your tier, we will give you at least 30 days' notice before the change takes effect on your account, and the new price will apply at your next renewal. You may cancel before the new price takes effect.
Failed payments. If a payment fails, we will attempt to collect the amount owed and may suspend the Service until payment is resolved. If we cannot collect within 30 days, we may terminate your subscription.
Taxes. Subscription fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, and similar taxes on amounts charged, except for taxes based on Grizzly Tec's net income.
5. Refunds and Cancellation
30-day money-back guarantee. If you are not satisfied with LoxPilot within 30 days of your initial subscription start date, you may request a full refund of the recurring subscription fee paid. Requests must be sent to info@grizzlytec.com within the 30-day window. Note: any setup fee is separately addressed below and is not covered by this guarantee.
Setup fee policy. Any setup fee paid at signup is non-refundable except where required by applicable law. The setup fee is disclosed at the point of purchase and is separate from the recurring subscription fee.
Cancellation method. You may cancel your subscription at any time through the customer portal at loxpilot.com or by contacting info@grizzlytec.com. Cancellation through the customer portal takes effect immediately upon your confirmation. We do not require phone calls, retention conversations, or any other steps to cancel.
Cancellation after 30 days. After the 30-day window, no refunds are issued for unused portions of a paid period. Your subscription will remain active through the end of the current paid period, and you will not be charged again at the next renewal.
Effect of cancellation. When your subscription ends, your access to paid features (including unlimited Grixx, in-app support, and any tier-specific benefits) will end. Free tier access (Scout) may continue at our discretion.
6. Acceptable Use
You agree to use LoxPilot only as intended. You will not:
- Resell, sublicense, or commercially redistribute the Service;
- Use the Service to provide competing services to others;
- Use the Service to benchmark, evaluate, or test the Service for the purpose of building a competing product;
- Attempt to extract, copy, or reverse-engineer Grixx's underlying models, system prompts, or training data;
- Engage in unlawful conduct against Grizzly Tec, your installer, or any third party, including defamation, harassment, fraud, or tortious interference (this provision does not restrict your right to share truthful reviews or honest opinions about the Service or about your installer);
- Use the Service for any unlawful purpose or in violation of any applicable law;
- Bypass or attempt to bypass any security or access control measures;
- Use automated means (bots, scrapers, etc.) to access the Service without our written consent;
- Upload or transmit malware, viruses, or any code designed to disrupt or damage systems;
- Attempt to gain unauthorized access to any other account, system, or network connected to the Service.
We may suspend or terminate accounts that violate these restrictions.
Your right to review. Nothing in these Terms restricts your ability to publish honest, truthful reviews of the Service or to communicate publicly about your experience. We support and respect customer reviews.
7. Grixx and AI-Generated Content
Grixx is an AI assistant. Its responses are generated based on training data and your conversation context. While we work to make Grixx accurate and helpful, Grixx may produce incorrect, incomplete, or inappropriate responses. You are responsible for evaluating any guidance Grixx provides before acting on it.
Safety-critical limits. Grixx is configured to escalate to human support, rather than provide direct guidance, for any matter that could affect personal safety or cause property damage, including:
- Electrical work beyond user-accessible controls;
- Gas, water main, or HVAC mechanical systems;
- Fire-rated or life-safety equipment (smoke detectors, alarms, sprinklers);
- Any change requiring access to Loxone Config or comparable integrator-level tools.
Do not act on Grixx output for any of the above without first requesting and completing a human support session.
Allocation of risk. To the maximum extent permitted by law, you assume responsibility for your decision to act or not act on Grixx's guidance, and Grizzly Tec is not liable for damage, loss, or harm resulting from that decision. This Section 7 is subject to the carve-outs in Section 13.
If you are unsure about a recommendation, do not act on it. Contact human support instead.
8. Access to Your Loxone System
LoxPilot may require access to your Loxone Miniserver to deliver support services. By granting access, you authorize us to:
- Read system status, configuration, and event data;
- Perform diagnostic operations and apply fixes that you have authorized;
- Trigger backups and firmware updates as part of the Service.
We will not access camera feeds, audio recordings, or other sensitive media stored locally on your system. You may revoke our access at any time through your Loxone application or by contacting us.
You remain the owner and primary administrator of your Loxone system. LoxPilot does not transfer ownership of your system or any of its data to Grizzly Tec.
9. Service Availability and Force Majeure
Best-efforts availability. We provide LoxPilot on a "commercially reasonable efforts" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance, third-party outages (including Loxone, Stripe, Supabase, Vercel, or Anthropic outages), and circumstances beyond our control may affect availability.
Specific support response commitments, where stated in marketing materials or your account, are targets, not guaranteed service levels.
Force majeure. Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, pandemic, government action, labor disputes, internet or telecommunications outages, infrastructure failures, or failures of third-party services we depend on. In such circumstances, the affected party's obligations are suspended for the duration of the event.
10. Use of Your Data for Service Improvement
We use your conversations with Grixx, your support tickets, and your account activity to:
- Provide and operate the Service;
- Diagnose and resolve issues;
- Monitor for abuse, security threats, and quality problems;
- Improve the Service through analysis of anonymized and aggregated patterns.
We do not share your conversations or personal data with third parties for their AI training purposes. Our AI provider (Anthropic) does not train its models on your data under our agreement with them.

11. Intellectual Property
Our IP. LoxPilot, including the Grixx assistant, the loxpilot.com website, the customer portal, and all associated software, content, branding, and trademarks, is owned by Grizzly Tec, LLC or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription, solely for your personal use as the owner of a Loxone system. No other rights are granted.
Your content. You retain ownership of any content you submit to the Service (questions, ticket descriptions, attachments, photos, system data, and similar materials) ("Customer Content"). You grant Grizzly Tec a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers and sub-processors) license to use, store, reproduce, modify, and display Customer Content solely as necessary to:
- Provide, maintain, and support the Service;
- Improve the Service through analysis of aggregated and anonymized patterns;
- Comply with legal obligations.
This license terminates when you delete the Customer Content or close your account, except for: (a) anonymized or aggregated data that no longer identifies you, and (b) backup copies retained in the ordinary course of business.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIZZLY TEC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT GRIXX'S RESPONSES WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR SPECIFIC SITUATION. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY ISSUE WITH YOUR LOXONE SYSTEM OR PREVENT EVERY POTENTIAL PROBLEM.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed, it is limited to the minimum scope and shortest duration permitted by law.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIZZLY TEC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO GRIZZLY TEC FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
GRIZZLY TEC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR DAMAGE TO PROPERTY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations apply regardless of the legal theory of liability, including contract, tort, strict liability, or any other theory.
Carve-outs. Nothing in this Section 13 limits liability for:
- (a) gross negligence or willful misconduct;
- (b) fraud or fraudulent misrepresentation;
- (c) death or personal injury caused by negligence;
- (d) any liability that cannot be limited or excluded under applicable law.
You acknowledge that the limitations in this Section 13 are an essential basis of the bargain between you and Grizzly Tec, and that absent these limitations, the pricing of the Service would be materially different.
14. Indemnification
You agree to indemnify, defend, and hold harmless Grizzly Tec, its officers, employees, and agents from any third-party claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from:
- Your violation of these Terms;
- Your misuse of the Service;
- Your violation of any third-party right, including intellectual property or privacy rights;
- Customer Content you submit to the Service.
Procedure. As a condition of indemnification, Grizzly Tec will: (a) promptly notify you in writing of the claim; (b) give you reasonable control of the defense and settlement (provided that any settlement requiring an admission of liability or affecting your rights requires your written consent, not to be unreasonably withheld); and (c) provide you with reasonable cooperation, at your expense.
15. Account Termination and Data Export
By you. You may cancel your subscription and close your account at any time through the customer portal or by contacting us at info@grizzlytec.com.
By us. We may suspend or terminate your account at our discretion if we reasonably believe you have materially violated these Terms, if your payment method fails and is not corrected, or if we discontinue the Service. Where the violation is curable, we will give you written notice and a reasonable opportunity to cure before termination.
Data export. Before termination takes effect, you may request an export of your account data (conversation history, ticket history, profile information) by contacting info@grizzlytec.com. We will provide the export in a commonly used format within 30 days.
Data retention after termination. We will retain your account data for 90 days after termination, during which time you may request reactivation or data export. After 90 days, your data will be permanently deleted, except where we are required to retain records by law (for example, billing records, fraud prevention, or tax records).
16. Modifications to These Terms
We may update these Terms from time to time.
Material changes. For material changes — including changes to pricing, dispute resolution, license scope, data use, or your fundamental rights or obligations — we will notify you by email at least 30 days before the change takes effect, and we will require your affirmative acceptance (such as a click-through acknowledgment on next login) before continued use of the Service.
Non-material changes. For non-material changes (such as clerical corrections, contact information updates, or clarifications), we will post the updated Terms at loxpilot.com/terms with an updated "Last Updated" date. Continued use of the Service after the effective date constitutes acceptance of non-material changes.
If you do not agree to a material change, you may cancel your subscription before the effective date and receive a pro-rated refund of any prepaid fees for the unused portion of your then-current billing period.
17. Dispute Resolution, Arbitration, and Class Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Informal resolution first. Before initiating arbitration, the party with a claim ("Claimant") must first send a written notice describing the dispute and the relief sought to the other party. Notices to Grizzly Tec must be sent to info@grizzlytec.com with subject line "Dispute Notice." The parties will attempt in good faith to resolve the dispute for at least 60 days after the notice is received. Arbitration may not be initiated until this 60-day period has expired.
Binding arbitration. Any dispute arising from or related to these Terms or the Service that is not resolved through informal resolution will be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in Harris County, Texas, or by telephone or video conference at the Claimant's election. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
Small claims carve-out. Either party may bring an individual action in small claims court for any dispute within that court's jurisdiction, in lieu of arbitration.
Right to opt out of arbitration. You may opt out of this arbitration agreement (Section 17) by sending written notice to info@grizzlytec.com with subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms (or, for existing customers, within 30 days of the effective date of this version of the Terms). Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these Terms or your use of the Service.
Class action waiver. You and Grizzly Tec each agree that disputes will be resolved only on an individual basis, and not as part of any class, consolidated, or representative action. You waive the right to participate in a class action, class-wide arbitration, or any consolidated proceeding against Grizzly Tec. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.
Mass arbitration. If 50 or more substantially similar arbitration demands are filed against Grizzly Tec by or with the assistance of the same law firm or coordinated group of counsel within a 60-day period, the parties agree that the demands will be administered in batches of up to 50 demands at a time, with bellwether arbitrations selected to resolve common issues. The parties will work in good faith with AAA to implement an efficient batched process.
Severability of arbitration provisions. If the class action waiver is found unenforceable as to any particular claim, that claim must be brought in court rather than in arbitration, but the remaining provisions of this Section 17 will continue to apply. If any other portion of this Section 17 is found unenforceable, the remaining portions will continue in effect.
Court fallback. If arbitration is unenforceable in your jurisdiction, or if your claim is otherwise excluded from arbitration, disputes will be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
18. Communications Consent
By creating an account, you consent to receive transactional and service-related communications from Grizzly Tec, including account confirmations, billing notices, security alerts, support replies, and updates to these Terms, by email at the address associated with your account.
You may also opt in to receive marketing communications. You can withdraw consent for marketing communications at any time by clicking the unsubscribe link in any marketing email or by contacting info@grizzlytec.com. Transactional and service-related communications cannot be opted out of while you have an active account.
If we send you SMS or text messages, separate consent will be obtained at the time of opt-in, and standard message and data rates may apply. You may opt out of SMS messages by replying STOP.
19. General
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Grizzly Tec regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce that provision later.
Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of substantially all of our assets, on written notice to you.
Survival. Sections that by their nature should survive termination (including Sections 7, 11, 12, 13, 14, 17, and 19) will survive termination of these Terms or your account.
Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
Notices. Legal notices to Grizzly Tec must be sent to: Grizzly Tec, LLC, 1310 Rayford Park Rd, Suite 364, Spring, TX 77386, or to info@grizzlytec.com. Notices to you will be sent to the email address associated with your account.
Headings. Section headings are for convenience only and do not affect interpretation.
